1. Agreement to these Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "user") and ConsultScribe ("we", "us", or "our"), concerning your access to and use of our website https://consultscribe.io (the "Site") and any related products and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Services.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Site and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use the Services.

2. Description of the Services

The Services allow users to record or upload audio, transcribe it into text using third-party transcription technology, and generate formatted reports based on user-provided templates.

Key processing details:

• Audio transcription is performed on servers hosted by Runpod (located overseas).
• Report generation is performed using OpenAI models (located overseas). OpenAI may retain input and output data for up to 30 days for safety and abuse monitoring purposes (see OpenAI's privacy policy for details).
• We do not store your audio files or transcripts long-term unless you explicitly save a report.
• All processing is encrypted in transit and at rest.
• We do not use your data to train any AI models.

The Services are not designed or intended to comply with any specific health, medical, or data protection regulations outside Australia. If your use would require compliance with such regulations, you may not use the Services.

3. Intellectual Property Rights

We own or license all intellectual property rights in the Services, including source code, design, text, graphics, and software ("Content").

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes only.

You may not copy, reproduce, modify, distribute, sell, or create derivative works of the Content without our prior written consent.

4. User Accounts and Registration

You may be required to register an account to use certain features. You agree to provide accurate, current, and complete information and to update it as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts for any breach of these Terms.

5. Payments and Subscriptions

We offer a free trial (30 operations) and paid subscription plans. Pricing is in Australian dollars (AUD).

Payments are processed via Stripe. You authorise us to charge your chosen payment method on a recurring basis for subscriptions.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel anytime via your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

We may change pricing at any time. We will provide reasonable notice of material price increases.

6. Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorised access to the Services or related systems
• Interfere with or disrupt the Services
• Upload viruses, malware, or harmful code
• Harass, threaten, or abuse others through the Services
• Scrape, copy, or extract data without permission
• Circumvent any security or access controls

Violation may result in immediate account termination and legal action.

7. User Content and Contributions

You retain ownership of any content you upload or generate ("User Content").

By using the Services, you grant us a limited licence to process, store (temporarily), and transmit your User Content as necessary to provide the Services.

You are solely responsible for your User Content and warrant that it does not infringe any third-party rights or violate any laws.

We may remove or restrict access to any User Content that violates these Terms.

8. Data Processing and Privacy

Your use of the Services involves processing personal data. Please refer to our Privacy Policy for full details.

• Audio and transcripts are processed on overseas servers (Runpod) and by OpenAI for report generation.
• OpenAI may retain data for up to 30 days for safety purposes.
• We do not retain your audio/transcripts long-term unless you save a report.
• All data is encrypted in transit and at rest.
• We do not sell your data or use it for training AI models.

9. Limitation of Liability

To the maximum extent permitted by law, ConsultScribe is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Our total liability to you is limited to the amount you paid us in the 6 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these Terms, your User Content, or your use of the Services.

11. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms or for any other reason, with or without notice.

12. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be resolved exclusively in the courts of Victoria.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance.
